Mitt Romney used the same technique to contribute low value assets into a tax deferred account. In theory you can invest in anything with your tax deferred money, it's just that administering non-publicly traded is more burdensome than a conventional approach. Your tax deferred accounts are trust accounts so your trust administrator shoulders the preponderance of the work involved in maintaining the integrity of the trust. Anyone can conceivably put private investments into a tax deferred account, but practically only a few really can.

As to the value, the IRS fights untold battles each year on valuation across a broad spectrum of issues: family limited partnerships, gift transfers, inheritance transfers, worthlessness write-offs, etc. Valuation is always going to be a contentious issue because of the imprecise means by which certain assets are valued. So I don't think you can say what he did was illegal, I'm 100% sure that he adequately documented the value with a "neutral" third party valuation, but I mean guys with way less means than he can always find someone to cook a valuation. The IRS just will wage a battle of experts if they deem this to be irregular.
